Related Party Transaction Policy

Significant changes in the law pertaining to Related Party Transactions were introduced, on 1st April, 2014, under Section 188 of the Companies Act, 2013 read with Companies (Meetings of Board and its Powers) Rules, 2014. Also, the revised Corporate Governance norms i.e. Clause 49 of the Listing Agreement notified by SEBI favours more self-regulation, disclosures and transparency with regard to related party transaction(s) entered by the Companies which further requires the Company to formulate a Related Party Transaction Policy.

In line with the applicable provisions of Companies Act, 2013 and clause 49 of the Listing Agreement, the Company has in place a Related Transaction Policy which inter-alia includes the criteria of the materiality of Related Party Transaction(s) and mechanism of dealing with Related Party Transaction(s).
