Code of Conduct for Board and Senior Management Personnel

The Company has a Code of Conduct for all the Board members and the Senior Management Personnel of the Company which requires the Directors and Senior Management of the Company to ensure compliance with the legal requirements and set down standards for business conduct for the concerned officer’s to act in accordance with the highest standards of personal and professional integrity, honestly, ethically and in a respectful manner.

The revised Clause 49 of the Listing Agreement notified by SEBI vide Circular no.CIR/CFD/POLICY CELL/2/2014 dated 17th April, 2014, the provision of which is applicable from 1st October,2014 requires the Company to incorporate the duties of an Independent Director in the said code.

The Company in order to ensure compliance with the requirements of the revised Clause 49 of the Listing Agreement and enhance better corporate governance practices has revised its “Code of Conduct for the Board of Directors and the Senior Management Personnel.”
